Amazon Program Terms and Conditions

1. Identity and scope

CHALJUB INS COL LLC operates its own program for evaluating and potentially selling eligible physical products through its Amazon Seller Central account, primarily on Amazon United States. Third-party products are assessed individually within a scope confirmed in writing.

This document explains the process and reference commercial terms. It does not constitute product acceptance, an individual contract, shipping authorization, or a promise of sales. It does not replace an accepted commercial proposal, the contract and its schedules, brand authorization, inventory receipt, or settlement reports.

2. Who may request an evaluation

Manufacturers, distributors, brand owners, and product owners may apply if they can substantiate legitimate sourcing and the authority required for the proposed transaction. Ownership of inventory alone does not establish brand authorization, category eligibility, or regulatory compliance.

An initial application does not guarantee acceptance. CHALJUB INS COL may request clarification or decide not to proceed for legitimate documentation, commercial, or compliance reasons, without treating that internal decision as an Amazon approval or rejection.

3. Application and free preliminary scope

The preliminary evaluation is free for up to three products. Applicants provide business contact details, their relationship to the product, its name, category, brand, manufacturer, presentation, origin and location, available quantity, estimated cost and selling price, and state which documents are available. Estimates are not treated as verified facts.

The public form collects general information and does not accept document attachments. Invoices, authorizations, and other supporting records will be requested, where appropriate, through an agreed private channel. Sensitive documents must not be pasted into free-text fields.

The estimated initial response is 2–3 business days, as guidance rather than a guaranteed decision deadline. Up to 15 days of evaluation and preparation without management fees begin once sufficient information is available and the start and scope are confirmed in writing. This does not include unlimited management, third-party expenses, campaigns, testing, inventory, importation, or Amazon approval times.

4. Evaluation and eligibility

Evaluation considers authenticity, traceability, manufacturer, supply chain, commercial invoices for real transactions, brand and resale authority, category, identifiers, and product restrictions. Labeling, safety, regulatory requirements, importation where applicable, storage, FBA or FBM logistics, and economic margin are also reviewed.

Requirements are checked for the specific account, product, brand, category, and market. No universal quantity threshold, invoice age, or acceptance of foreign documents is presumed. A brand letter does not replace an invoice or traceability; category approval does not replace other authorizations. Invoices are not altered and purchases are not fabricated.

Sector-specific checks depend on the product. The kit’s coffee checklist is a food-sector example, not a rule for the entire catalog. The parties responsible for importation, labeling, testing, and permits will be identified before proceeding, without automatically assigning CHALJUB INS COL regulatory roles that have not been agreed or verified.

5. Acceptance stages

The process distinguishes: 1) receipt of the application; 2) preliminary evaluation; 3) requests for additional information; 4) commercial proposal; 5) written acceptance of terms; 6) signing the relevant contract; 7) verification of requirements and authorizations; 8) expressly authorized inventory receipt; and 9) listing only if the product is eligible. No stage guarantees the next.

A form confirmation acknowledges receipt, not a concluded contract. An internal evaluation may identify missing information, a decision not to proceed, or conditional feasibility. It is not approval by Amazon or a regulator and does not independently authorize sales, inventory receipt, or submission of documents.

6. Commercial arrangements

The main model uses CHALJUB INS COL LLC’s own Amazon Seller Central account. The supplier receives no access or credentials to that account. The individual contract must select the arrangement and define title, risk, purchase price or recognized cost, inventory, and payments before operations begin.

Consignment: there is no initial sale of inventory to CHALJUB INS COL. The owner retains title until the agreed transfer event. Custody, transport, storage, insurance, cost recovery, protection against creditors, and return of unsold units are expressly documented under applicable law. No invoice may simulate a purchase that did not occur.

Purchase for resale: CHALJUB INS COL acquires goods through a documented, genuine purchase. Transfer of title, risk, and the purchase-price due date are agreed separately. The purchase price is not automatically contingent on a successful resale. If an additional 70% share of positive profit is agreed, it will be identified as additional variable consideration, with its legal, tax, and accounting treatment reviewed.

Ongoing supply: organizes orders, specifications, and replenishment. It does not by itself determine title or risk or imply a purchase of all inventory. Each order must expressly identify purchase for resale or consignment. Their rules are not combined by default.

7. Reference commercial terms

The public terms are: free preliminary evaluation of up to three products; up to 15 days of limited evaluation and preparation without management fees, with a confirmed start; a proposed setup fee between USD 149 and USD 399; and a proposed allocation of 30% to CHALJUB INS COL and 70% to the owner from positive distributable profit, only in agreements using that allocation.

These are not automatic charges or an accepted individual quotation. Before contracting, the exact amount, deliverables, milestones, dependencies, applicable taxes, authorized expenses, and cancellation and unperformed-work terms must be specified. Amazon fees, advertising, logistics, importation, testing, and external advice are not included without an express agreement.

Setup is invoiced separately and is not deducted again from the allocation unless an express agreement identifies a single recognition without double charging. No payment guarantees approval, sales, continued listing on Amazon, or profitability.

8. Profit calculation and prevention of duplicate charges

For each product and period, the calculation starts with actual sales, excluding taxes collected for authorities. Discounts, refunds, recognized cost of goods sold, Amazon fees, additional logistics, authorized advertising, and other documented contractual costs are deducted. New pending reserves are deducted and reconciled releases of previous reserves are included without recording them as new sales.

Distributable profit = the greater of zero and the result after costs and reserves. Where the allocation applies, CHALJUB INS COL’s 30% is rounded to the nearest cent and the remainder belongs to the owner. If the result is zero or negative, there is no profit allocation; the loss is reported and its allocation must be expressly agreed according to cause and arrangement.

Product cost is recognized only once. Logistics and FBA charges, refunds, or other items appearing in multiple reports must not be duplicated. The owner’s cost recovery, where applicable, is shown separately from the 70%; advances and prior payments are reconciled, not paid again or treated as another expense. Reserves are amounts pending reconciliation, not final expenses.

Illustrative kit example, not a quotation: USD 30 in sales less USD 10 product cost, USD 4.50 Amazon fees, USD 3 logistics, USD 2 advertising, USD 1 refunds, USD 0.50 reserves, and USD 0.50 other costs = USD 8.50. The allocation is USD 2.55 and USD 5.95. These are not actual Amazon fees or a sales forecast.

The public calculator simulates one unit. The kit spreadsheet calculates by period and separately identifies discounts and reserve releases. Both use positive profit and the same allocation; neither replaces cash reconciliation or independently determines a payment obligation.

9. Inventory and delivery

Submitting the form does not authorize sending inventory. A contract, selected arrangement, verified requirements, and prior written authorization identifying products, quantities, delivery location, and receipt conditions are required. The corporate mailing address is neither shipping authorization nor a warehouse address.

The receipt will record units, origin, condition, packaging, lots and expiry dates where relevant, carrier, responsible person, location, and evidence. It will distinguish received, provisionally accepted, rejected, or quarantined units. Physical receipt alone does not imply purchase, final quality acceptance, or listing authorization.

Custody, storage, coverage, shrinkage, damage, expiry, and unsellable products will be allocated under the selected arrangement and reviewed contract. Customer returns require checks before re-entering saleable inventory. Transfers, removals, or disposal must be documented; authorization to destroy goods is not presumed, except for legal obligations or properly substantiated emergencies.

10. Listing and management on Amazon

Listing depends on actual eligibility, valid documentation, category and brand restrictions, applicable authorizations, signed commercial terms, and compliance with Amazon policies. Later changes may require further review or prevent continuation.

CHALJUB INS COL retains operational control of its account and its applicable responsibilities as seller. The contract does not remove obligations imposed by law or Amazon. Product approval or continued listing is not guaranteed, and the supplier may not operate the account through shared credentials.

11. Returns and claims

Consumer purchases through Amazon are subject to applicable platform policies and legal rights. The financial effects of returns, refunds, chargebacks, defects, and authenticity claims will be recorded and reconciled with transaction evidence.

The contract will identify the supplier’s and CHALJUB INS COL’s responsibilities, warranties, insurance, claims procedure, product recalls, and settlement adjustments. This text does not automatically transfer all losses to the supplier or generally exempt CHALJUB INS COL from liability. Limitations and indemnities are set out in the individual contract under applicable law.

An Amazon buyer return must be distinguished from a request to refund CHALJUB INS COL service fees. The holding company’s general terms and expressly accepted individual terms remain applicable to these fees, without limiting non-waivable rights.

12. Settlements and payments

The settlement report will identify product, period, sales, discounts, costs, reserves, result, allocation, and supporting records. Actual deposits, funds held by Amazon, recoverable cost, advances, prior payments, and adjustments must be reconciled. Calculated profit does not automatically equal available cash.

The individual contract specifies in writing the reporting frequency, objection period, payment date, basis and limit of reserves, and their review date. Automatic monthly payment is not presumed, and indefinite withholding is not authorized.

In consignment, cost recovery and profit allocation must be documented under the contract and available funds. In purchase for resale, the agreed purchase-price due date must be respected; that obligation is not replaced by consignment cash-availability rules. Payments require reconciliation and authorization, without duplication.

13. Ending the agreement

A termination request will be handled under the duration, notice period, and procedure agreed in writing in the individual contract.

Closure must address new operations, remaining inventory, removal or return of units, prior sales, later returns, reserves, payments, and financial adjustments. Applicable contractual and legal obligations will continue, along with agreed brand use needed for outstanding orders. Immediate removal of pages controlled by Amazon is not guaranteed.

14. Privacy and documentation

Business information is used to evaluate and respond under the applicable privacy policy. The form records applications through Netlify Forms and confirmations are handled through Resend, as stated in the published notice. Data is not added to the public catalog.

Passwords, authentication codes, sensitive banking data, and identity documents are not requested through public forms or channels. Necessary business records will be received through an agreed private channel, with limited access and retention under applicable obligations. Invoices, customer names, and confidential files will not be published. File-retention periods must be specified before operations begin.

15. Independence from Amazon

CHALJUB INS COL LLC is an independent company. This program does not imply affiliation with, sponsorship by, or official endorsement from Amazon. All selling activities are subject to Amazon’s applicable policies and decisions.
